End User License Agreement

This End User License Agreement (“EULA”) is between Kintah LLC and the church organization or individual authorized to use MinistryOS™. It applies to the hosted web application, mobile-accessible experience, APIs, documentation, updates, and related software.
1. License grant
Subject to payment, these terms, and applicable subscription limits, Kintah LLC grants the subscribing church a limited, non-exclusive, non-transferable, revocable right for its authorized users to access and use the service for internal church and ministry operations during the subscription term.
2. Tenant administration
The church’s root administrator controls tenant settings and user access. The church is responsible for role assignments, account lifecycle, lawful instructions, data quality, connected payment and social accounts, and use by its pastors, staff, ministry leaders, volunteers, finance users, and members.
3. Restrictions
Users may not sublicense, sell, rent, or provide the service as a bureau; copy or modify platform code; reverse engineer except where law cannot prohibit it; defeat authentication, rate limits, or tenant isolation; probe for vulnerabilities without written permission; use the service to build a competing product; or access data outside the authorized church tenant.
4. Subscription and fees
The church must maintain the applicable recurring subscription. Features may be limited when payment is past due or canceled. Donation processing, Stripe fees, social-provider fees, messaging fees, cloud services, and the disclosed platform transaction fee may be separate from the subscription price.
5. Updates and third-party services
The Platform may deploy security fixes, improvements, and feature changes. Integrations depend on third-party APIs and may require additional credentials, approvals, terms, or fees. No license is granted to third-party software or content beyond the rights supplied by its owner.
6. Confidentiality and data protection
Each party must protect nonpublic information using reasonable care. The church must limit sensitive ministry, children’s, financial, health-related, and pastoral information to appropriate users. The Platform will process tenant information to provide and secure the service as described in the Privacy Policy.
7. Support and maintenance
Support is provided through the channels and service levels offered with the subscription. Maintenance, emergency work, provider outages, internet failures, and events beyond reasonable control may affect availability.
8. Ownership and feedback
Kintah LLC retains all rights in the platform. Churches retain their tenant content. If users provide suggestions, they permit the Platform to use them without restriction or compensation, provided the Platform does not disclose confidential church information in doing so.
9. Term and termination
This EULA continues while the subscription or authorized account remains active. Rights end when the agreement is terminated. Upon termination, users must stop accessing the service. Data export, retention, deletion, and legally required preservation are governed by the subscription terms, Privacy Policy, and applicable law.
10. Warranty and liability
Except for rights that cannot legally be excluded, the software is licensed without implied warranties and use is at the organization’s risk. Final warranty exclusions, liability caps, indemnification, governing law, and dispute-resolution provisions must be reviewed and approved by qualified counsel for Kintah LLC before production reliance.
11. Entire agreement
This EULA, the Terms of Use, Privacy Policy, subscription checkout terms, and any signed order or data-processing agreement form the agreement for use of the service. If a signed order expressly conflicts with this EULA, the signed order controls for that conflict.
